Think Like an Owner: Leveraging Equity to Empower and Incentivise Top Talent
Course Description:
Are you a business owner, director, CEO or other C-Suite member navigating disruption on many fronts, including the need to address shortages in key skills or driving the entrepreneurial behaviours of your management teams? Faced with these challenges, you may have been considering (or indeed asked to consider by your top talent) long term employee incentive plans as a complimentary tool to incentivise, retain and reward key talent. Long term incentive plans are typically offered to employees as a means of further alignment of interests with those of owners, so as to motivate and encourage them to remain with the business and/or behave in ways that add long term value to the business. Many argue: what better way to do this than by giving employees some skin in the game?
Course Outline:
During this session, the speakers will draw on their interactions with business leaders and other stakeholders of such journeys as well as their experience in assisting a number of organisations in designing, implementing and refining effective long term incentive schemes to explore the following:
- an understanding of a selection of different types of incentive plans;
- key considerations involved in designing effective long term incentive schemes;
- key insights and lessons learned covering areas such as strategy, tax, accounting and talent aspects; and
- emerging trends being observed in the design of effective long term incentive schemes.
Target Audience:
This seminar is designed for business owners, directors, senior finance or HR executives in organisations that rely on key talent to achieve their high growth ambitions. This session is also useful for advisors that support such organisations.
Learning Outcomes:
This seminar seeks to provide a broad understanding of the different types of long term incentive schemes, the key hurdles involved in the design and implementing such, as well as key lessons learned and pitfalls that may be avoided. Participants will also have the opportunity to participate in the discussion, field questions they may have and obtain points of view, useful tips and insights from the experienced speakers and other delegates that may potentially be facing similar challenges.

Trainers:
David Pace, Partner, Head of Advisory, KPMG in Malta
David joined KPMG in 2002 and has worked on numerous advisory assignments, both locally and overseas. He currently heads the firm’s Advisory function, one of the broadest multi-disciplinary teams on the island. Throughout his career he has assisted clients in successfully raising debt and equity finance and in valuing shares and businesses. He is actively involved in numerous business negotiations and has a lead role in the firm’s Merger and Acquisition service offering. He has also participated on vendor and buy-side due diligence assignments for which he has worked within the local and foreign practices of KPMG. His engagement portfolio has led him to work at the heart of strategy within a number of businesses, helping them throughout the process of considering strategic options, articulation of plans and their subsequent implementation and monitoring. David has provided various training sessions on corporate finance, accounting and business related topics to clients and at public seminars. He is an active promoter of entrepreneurship, supports early stage companies, and is a Past Chairperson of the JAYE Malta Foundation (previously Young Enterprise) Board.
Claudine Borg Azzopardi, Partner, People and Change Advisory Services, KPMG in Malta
Claudine heads the People & Change Advisory function. She is a Psychologist, Executive Coach and Registered Supervisor. She has worked extensively in the field of change management and leadership development with diverse nationalities and projects in different geographies. Her professional career started in 1999 working within the NHS in the UK before moving into Leadership Consultancy and Executive Coaching. She has led large complex transformations including all aspects of technological, behavioural and cultural change. She has been involved in workforce transformation, including talent strategy, people analytics, organisational design, development of change methodology and toolkit development, stakeholder management, communications development, and delivery.
Simon Xuereb, Partner, Tax – Private Client Services, KPMG in Malta
Simon, graduated as a lawyer, obtaining his LL.D in 2009 and his warrant to practice as an Advocate before the superior Courts in Malta in 2010 and went on to specialise in International tax, obtaining an adv. LL.M in International Taxation from Leiden University, Netherlands. Returning to Malta, Simon then re-joined KPMG and was actively involved in the ongoing development and broadening of KPMG in Malta’s Private Client and Global Mobility Services offering, today leading a multi-disciplinary team of professionals in KPMG Malta’s Private Client, Family office and Global Mobility Practice. He has been a regular lecturer, examiner and supervisor on various tax related courses in Malta and abroad, and his work has been published in various international journals.
Luke Borg, Director, Corporate Accounting Advisory Services, KPMG in Malta
Luke has been with KPMG since 2010 and has extensive expertise in providing accounting support across sectors such as logistics, internet gaming, retail, and financial services. His experience includes senior roles like Acting CFO and Senior Accounting Manager for both local businesses and multinational corporations, offering deep insights into accounting operations and financial systems. Known for his collaborative approach, Luke works closely with CFOs to streamline processes and enhance strategic decision-making.
Therese Mamo, Associate Director, Deal Advisory Services, KPMG in Malta
Therese is an Associate Director with over 14 years of advisory experience at KPMG across Malta, Spain and the UK. She has experience across a breadth of services offered by Deal Advisory with clients ranging from start-ups to multinational organisations located in multiple jurisdictions. Therese has managed several due diligence and valuation engagements including valuations of equity interests and businesses and has advised various clients seeking additional financing either from banks or from the local capital market. She has played a key role in advising clients as they go through a merger and acquisition process. In more recent years, she has been closely following clients, ranging from IT start ups to established technology companies and professional service providers, who are seeking to grow their equity partner pool, assisting them in the conceptualisation, design and implementation of such journeys.
